Call for Directors for UCT Spin-Off Companies

The University of Cape Town takes equity in some of the UCT spin-off companies that are being established to commercialise intellectual property and technologies arising from UCT research.

The UCT Intellectual Property Advisory Committee (IPAC) is seeking to establish a pool of potential Directors who can be appointed to serve on the Board of a spin-off company, where UCT is entitled to nominate a Board member.

Normally IPAC seeks a person from within the UCT community (which includes Alumni) who has skills that are complementary to those of the founders and/or other directors, who most typically have technical backgrounds relevant to the technology being developed/commercialised, supported by a good understanding of governance. 

The Vice Chancellor approves the IPAC recommendation regarding the appointment of a director and makes the appointment if he is in agreement.

The appointee is covered by UCT’s professional indemnity insurance whilst serving as a director, but the position is voluntary and no remuneration offered.  Companies have been based in Cape Town up until this point, so potential Directors should either travel to Cape Town regularly at their own cost, or live in Cape Town.

Research Contracts & Innovation is planning training for potential Directors that will familiarise them with the responsibilities of being a Director as well as the requirements from a UCT perspective and the pool of potential Directors will be offered this training at no cost.

Applications will be reviewed and candidates will be informed as to whether or not they have selected to form part of the pool of potential Directors.  It is possible that interviews may be conducted.
